Speed Management Controller (SMC) — Subscription, Service & Data Terms

1. Scope and precedence

1.1 These terms are the Offering Terms for the Speed Management Controller ("SMC"). They apply together with the ALEPH DIGITAL INDUSTRY S.R.L. General Terms of Sale and Use (the "General Terms"), which they incorporate.

1.2 If these terms conflict with the General Terms, these terms prevail for SMC. Terms defined in the General Terms have the same meaning here.

2. Definitions

  • "Line" means one production line of machines connected in series, with the buffers between them.
  • "Operating Limits" means the minimum and maximum speeds, buffer limits and other parameters the Customer configures in SMC, as described in the Documentation.
  • "Safe State" means SMC's speed setting disabled, with the machines under their normal operator control.

3. Licence

3.1 One subscription licenses one SMC app instance controlling one Line of up to eight machines.

3.2 Where the Line's machines lack native OPC UA, the subscription includes the Aleph FlexServer connectivity application for use with that Line only.

3.3 Controlling more than one Line, or more than eight machines, requires additional subscriptions.

4. SMC is not a safety function

4.1 SMC is a production-optimisation application. It is not a safety function, is not a safety-rated component, and must not be relied on to protect persons, machines or product.

4.2 Safety remains the responsibility of the machines' own safety systems and of the Customer.

5. Operation, Operating Limits and Safe State

5.1 SMC writes machine speed setpoints only, within the Operating Limits. It writes no other value to the machines.

5.2 The Customer is responsible for:

  • setting and maintaining the Operating Limits;
  • line and machine safety;
  • enabling and disabling SMC.

5.3 The user can place SMC in the Safe State at any time. SMC is designed to enter the Safe State on internal fault, on loss of required data, and on suspension, expiry or termination of the subscription.

5.4 Entering the Safe State is normal operation. It is not a defect and not an incident.

6. Customer prerequisites and responsibilities

6.1 The Customer provides:

  • Siemens Industrial Edge Management and a compatible Industrial Edge device, as listed in the Documentation;
  • an OPC UA data source on each machine providing the signals listed in the Documentation, directly or through Aleph FlexServer;
  • network connectivity and access as needed for installation and support.

6.2 The Customer is responsible for the correctness of the machine data it provides and for the mapping of that data in SMC. SMC acts on the data provided.

6.3 The Customer is responsible for the security of its network and Industrial Edge environment, and for deploying SMC in line with the security guidance in the Documentation.

6.4 Where a prerequisite is missing or the deployment is non-standard, the Customer should contact Aleph before production use.

7. No performance guarantee

7.1 Figures on efficiency, OEE, MTBF, throughput or downtime in the Marketplace listing, marketing material or discussions are informational. They are not a warranty, an acceptance criterion or a condition of payment.

7.2 Any performance-based arrangement requires a separate written agreement with Aleph.

8. Data

8.1 The Customer owns its operational and production data. That data is Customer confidential information.

8.2 Aleph retains all rights in its models, algorithms and platform, including improvements.

8.3 Aleph may use de-identified, aggregated statistical learnings derived from the operation of SMC, provided they neither identify the Customer nor can be used to reconstruct the Customer's data. No raw Customer data and no Customer-identifying data leave the Customer's environment for this purpose.

8.4 The Customer may opt out of §8.3 by written notice to the address in the General Terms. SMC then uses only the Line's own data.

9. Support

9.1 During the Subscription Term, Aleph provides remote support on Italian business days, during the office hours of Aleph's Italian offices, through sales@aleph.solutions.

9.2 Aleph aims to respond within one business day to a report of an SMC fault affecting production. A Safe State activation, with the Line running under operator control, is not a fault affecting production.

9.3 Support excludes faults caused by the Customer's infrastructure, network or data sources, by machines, or by changes not made by Aleph.

9.4 These support terms carry no service credits. The remedies in this §9 are the Customer's only remedies for support performance.

10. Services not included

Commissioning, on-site work, go-live assistance ("hypercare"), configuration of Operating Limits on the Customer's behalf, and performance analyses are not included in the subscription. They are available from Aleph as separately agreed services.

11. Updates

11.1 Aleph may release updates to SMC and Aleph FlexServer, including security updates. The Customer is responsible for deploying them through its Industrial Edge Management.

11.2 Aleph supports the current and the previous major release. It announces end of support for a release at least 6 months in advance.

12. Trial

12.1 Where the Marketplace provides a trial, it is free of charge. It converts into a paid subscription at its end unless the Customer cancels through the Marketplace before then.

12.2 During the trial, SMC is provided "as is", without support commitments. §4 and §5 apply in full.

12.3 SMC may control a Line only after the Customer has configured the Operating Limits as described in the Documentation. Aleph recommends commissioning with Aleph before any production use; the Customer can request it at the contact address in the General Terms.

13. Expiry and termination

On expiry or termination of the subscription, SMC enters the Safe State and the licence ends. The Customer removes SMC from its Industrial Edge devices. §4, §7, §8 and this §13 survive.
